1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Borcope Web Development Agency ("Borcope", "we", "us"), located in Istanbul, Turkey.
By accessing our website, submitting a contact or quote form, or entering into a project agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree, please do not use our services.
2. Services
Borcope provides digital services including but not limited to:
- Custom website development (React, Next.js, and other technologies)
- WordPress and Shopify development
- Vibe Coding / AI-assisted rapid development (Lovable, Bolt.new, Cursor, Claude Code)
- Python and PHP backend development
- UI/UX design
- E-commerce solutions
- Meta Ads (Facebook & Instagram) management
- TikTok Ads management and strategy
The specific scope, deliverables, timeline, and pricing for each project are defined in a separate Project Agreement or Proposal issued to the Client. These Terms apply alongside any such agreement.
3. Project Process & Client Obligations
To ensure successful project delivery, the Client agrees to:
- Provide accurate, complete, and timely project requirements
- Supply all necessary content, assets, credentials, and access in a timely manner
- Provide feedback and approvals within agreed timeframes (delays may impact delivery schedule and cost)
- Appoint a primary point of contact authorized to make decisions
- Make payments according to the agreed payment schedule
Failure to meet these obligations may result in project delays, additional costs, or suspension of work. Borcope shall not be held liable for delays caused by the Client's failure to provide required materials or approvals.
4. Proposals & Quotes
All proposals and quotes issued by Borcope are:
- Valid for 30 days from the date of issue unless otherwise stated
- Based on the project requirements provided at the time of the quote
- Subject to change if project scope changes after the quote is accepted
A project is considered confirmed upon receipt of the deposit payment and signed agreement.
5. Payment Terms
5.1 Deposit
All projects require a non-refundable deposit of 50% of the total project fee before work commences. This deposit secures your place in our schedule and covers initial planning and design work.
5.2 Remaining Balance
The remaining 50% is due upon project completion, before final files or live deployment are delivered to the Client.
5.3 Milestone-Based Projects
For larger projects, a milestone payment schedule will be defined in the Project Agreement.
5.4 Late Payments
Invoices unpaid after 7 days of the due date may result in work being paused. Invoices unpaid after 30 days may incur a late fee of 2% per month on the outstanding balance.
5.5 Currency
Unless otherwise stated, all payments are in USD. Bank transfer, wire transfer, and other agreed payment methods are accepted.
6. Revisions & Change Requests
Each project includes a defined number of revision rounds as stated in the Project Agreement.
- Revision requests must be submitted in writing (email or agreed communication channel)
- Revisions outside the agreed scope or additional rounds will be billed at our hourly rate
- Significant scope changes (new features, major design direction changes) require a written change order approved by both parties, which may affect timeline and total cost
7. Intellectual Property & Ownership
7.1 Upon Receipt of Full Payment
The Client receives full ownership of the final deliverables created specifically for their project, including design files and custom code.
7.2 Third-Party Assets
The project may include third-party components such as WordPress themes, plugins, stock images, fonts, or libraries. These remain subject to their own respective licenses, and the Client is responsible for maintaining any required licenses after project handover.
7.3 Portfolio Rights
Borcope reserves the right to display completed work in our portfolio, website, and marketing materials, unless the Client requests confidentiality in writing prior to project start.
7.4 Pre-existing IP
Any tools, frameworks, templates, or code developed by Borcope prior to or independently of this project remain the intellectual property of Borcope.
8. Confidentiality
Both parties agree to keep confidential any sensitive business information, technical details, or trade secrets shared during the course of the project. This obligation remains in effect for 2 years after project completion.
Non-Disclosure Agreements (NDAs) are available upon request before project commencement.
9. Warranties & Representations
Borcope warrants that:
- Services will be performed in a professional and workmanlike manner
- Deliverables will substantially conform to the agreed specifications
Borcope does not warrant that:
- The website will be entirely error-free at all times after handover
- Third-party services (hosting, plugins, payment gateways) will operate without interruption
- Specific business results (traffic, conversions, sales) will be achieved
The Client is responsible for maintaining the website, keeping software and plugins updated, and managing hosting after project handover unless a maintenance agreement is in place.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
- Borcope's total liability for any claim arising from our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim
- Borcope shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption
- Borcope is not liable for damages resulting from third-party services, Client-supplied content, or changes made to the project by the Client or third parties after handover
11. Termination
11.1 By Either Party
Either party may terminate the project agreement with 14 days written notice.
11.2 Upon Termination
- The Client shall pay for all work completed up to the termination date, calculated on a pro-rata basis
- The initial deposit is non-refundable
- Borcope will deliver all completed work files upon receipt of final payment for work done
11.3 Immediate Termination by Borcope
Borcope reserves the right to terminate immediately and without notice if the Client engages in abusive, fraudulent, or unlawful conduct.
12. Force Majeure
Neither party shall be held liable for delays or failures in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, war, government actions, internet or infrastructure outages, or other force majeure events.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Turkey.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.
14. Changes to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance.
